Dealer Terms & Conditions
1. Introduction
These AutoMatch Dealer Terms and Conditions ("Terms") govern your dealership's application to, and participation in, the AutoMatch platform ("Platform"). By submitting your application, you agree to be bound by these Terms.
AutoMatch has been designed to create better outcomes for both buyers and dealers. These Terms are intended to support a professional, transparent, and trusted platform where buyers receive genuine proposals and dealers receive structured, high-intent enquiries.
2. Definitions
- AutoMatch means the vehicle matching service operated by AutoMatch NZ.
- Buyer Request means a request submitted by a prospective vehicle buyer through the Platform.
- Buyer Contact means contact initiated by a Buyer with your dealership through the Platform (for example, by email, phone, or a message facilitated by AutoMatch).
- Dealer Proposal means a vehicle proposal submitted by your dealership in response to a Buyer Request.
- Dealer Commercial Schedule means the current AutoMatch commercial terms provided to participating dealerships, including subscription fees, Buyer Contact Fees, payment terms, GST status (if applicable), and any promotional offers.
3. Eligibility and Application
You confirm that you are authorised to apply for and participate in AutoMatch on behalf of the dealership named in your application.
All information provided must be accurate and kept up to date.
AutoMatch reserves the right to verify your information and may accept, decline, suspend, or terminate participation at its discretion.
4. Subscription and Fees
Participation in AutoMatch is subject to the applicable subscription fees and Buyer Contact Fees set out in the current Dealer Commercial Schedule.
By participating in AutoMatch, you agree to pay the applicable fees described in the Dealer Commercial Schedule.
AutoMatch may amend the Dealer Commercial Schedule from time to time by providing reasonable notice to participating dealerships.
5. No Paid Placement
AutoMatch does not offer paid placement or paid ranking.
Dealers cannot pay to appear higher in Buyer results or proposal listings.
Vehicle matching is determined by buyer requirements, vehicle suitability, availability, proposal quality, and the AutoMatch matching process.
Commercial arrangements do not influence proposal ranking or buyer visibility.
6. Dealer Conduct
Dealers agree to:
- Respond to Buyer Requests promptly.
- Treat Buyers professionally and respectfully.
- Submit only genuine and suitable Dealer Proposals.
- Comply with all applicable New Zealand consumer protection and motor vehicle trading laws.
Misleading, fraudulent, or dishonest conduct may result in immediate suspension or removal from the Platform.
Dealers acknowledge that Buyers place trust in proposals submitted through AutoMatch. Dealers agree not to use misleading pricing, unavailable vehicles, bait advertising, or other practices that could reasonably damage Buyer confidence in the AutoMatch platform.
Dealers are expected to respond to Buyer Requests as promptly as reasonably possible and before the Buyer Request closes. AutoMatch may monitor response times as part of maintaining a high-quality Buyer experience.
7. Proposal Accuracy, Availability, and Cooperation
When submitting a Dealer Proposal through AutoMatch, the dealer must act in good faith and take reasonable care to ensure that vehicle details, availability, condition information, pricing, warranty information, trade-in information, and any stated offer details are accurate to the best of the dealer's knowledge at the time the proposal is submitted.
Dealers are not required to continuously update AutoMatch if a vehicle is subsequently sold or circumstances later change. However, dealers must not knowingly submit vehicles that are unavailable, materially inaccurate, misleading, or not genuinely suitable for the relevant Buyer Request.
Dealers are expected to honour the pricing, availability, and commitments made through AutoMatch wherever reasonably possible. Where circumstances change after submission, dealers must promptly explain those changes to the Buyer and deal with the Buyer fairly and in good faith.
If a Buyer contacts a dealer regarding a vehicle submitted through AutoMatch, the dealer should respond honestly and promptly and clearly advise the Buyer if availability, pricing, condition, finance, trade-in arrangements, or other relevant information has changed since the proposal was submitted.
If AutoMatch receives a complaint or query relating to a Dealer Proposal, the dealer agrees to cooperate reasonably with AutoMatch's review by providing relevant information regarding the vehicle, pricing, availability, communications with the Buyer, and any material changes occurring after submission.
AutoMatch may limit, suspend, or remove a dealer's access to the Platform where the dealer repeatedly submits inaccurate proposals, fails to cooperate with a review, or acts in a manner that AutoMatch reasonably considers harmful to Buyer trust, the integrity of the AutoMatch process, or the reputation of AutoMatch.
Nothing in these Terms limits any obligations the dealer may have under New Zealand law, including the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable legislation.
8. Data and Privacy
Buyer information provided through AutoMatch is supplied solely for the purpose of responding to the relevant Buyer Request.
Dealers must not use Buyer information for unsolicited marketing or disclose Buyer information to third parties except where required to complete a transaction or as otherwise permitted by law.
Dealers are responsible for handling Buyer information in accordance with the Privacy Act 2020.
AutoMatch's own privacy practices are described separately in the Platform Privacy Policy.
9. Platform Changes and Termination
AutoMatch may update these Terms or Platform features from time to time by providing reasonable notice.
AutoMatch may also update the Dealer Commercial Schedule by providing reasonable notice to participating dealerships.
Either party may terminate participation by providing written notice.
Outstanding fees remain payable before final account closure.
10. Limitation of Liability
AutoMatch provides the Platform solely as a vehicle matching service.
AutoMatch is not involved in the purchase, sale, financing, warranty, trade-in, or ownership of any vehicle proposed through the Platform.
AutoMatch does not guarantee Buyer enquiries, Dealer Proposals, vehicle sales, ongoing business opportunities, or any particular commercial outcome.
To the maximum extent permitted by law, AutoMatch's liability is limited to the fees paid by the dealership to AutoMatch during the three months immediately preceding the event giving rise to the claim.
11. Governing Law
These Terms are governed by the laws of New Zealand.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
